THESE TERMS AND CONDITIONS CONTAIN IMPORTANT INFORMATION REGARDING YOUR RIGHTS AND OBLIGATIONS, AND OURS, IN CONNECTION WITH YOUR USE OF GC MOBIL TECHNOLOGY PROJECT MANAGEMENT SERVICES.

THIS IS A CONTRACT. PLEASE READ THESE TERMS CAREFULLY. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE SERVICE AND CONTACT US IMMEDIATELY TO CANCEL YOUR SERVICE.

1. Acceptance of Agreement

   Agreement Terms Generally Included. These Terms of Service ("Agreement") are entered into between you (referred to as "you," "your" and "Customer") and GC MOBIL TECHNOLOGY , Inc., an International corporation, including each and all of its parents, subsidiaries, affiliates, successors, agents and assigns ("GC MOBIL TECHNOLOGY "). Acceptance by you of this Agreement occurs upon your use of the service, including, but not limited to this application that allows you to access the service.

2. Limited License

   GC MOBIL TECHNOLOGY hereby grants to you a non-transferable, worldwide, non-exclusive, limited license to download, install and/or use the object code version of the Service. All rights not expressly granted in this Agreement are reserved by GC MOBIL TECHNOLOGY .

3. Service

   The term "Service" shall mean the GC MOBIL TECHNOLOGY project management service, including this application, which allows you to manage information of your construction projects. The Service will allow you to remotely access and view and create reports, upload and share media with your coworkers and clients. The term "Content" shall mean data in digital or electronic form of any type provided, collected or stored by you or third parties you authorize through the Service or captured by your use of the Service.

4. Services Requirements

   Internet access is required to use the Service. You are solely responsible for complying with any minimum system requirements, and for obtaining, installing, configuring, and maintaining suitable equipment and software, including any necessary system or software upgrades, patches or other fixes, which are or may become necessary to access the Service(s) and to operate your MOBIL or other devices used to access the Service.

5. Term

   Agreement shall be effective upon your acceptance of this Agreement, as provided above and shall continue on a month-to-month basis. The term of the Agreement begins when you accept this Agreement and ends when you or we terminate this Agreement as permitted herein. We reserve the right to terminate the Service (or any part thereof) in the event we cease to offer the Service generally or to your location. If we cease offering the Service (or any part thereof) generally or to your location, we will give you at least thirty (15) days advance notice.

6. No Warranties

   ADVICE OR INFORMATION GIVEN BY GC MOBIL TECHNOLOGY OR ITS REPRESENTATIVES OR SUPPLIERS SHALL NOT CREATE A WARRANTY OF ANY KIND REGARDING THE SERVICE OR YOUR USE OF IT. YOUR WARRANTY RIGHTS REGARDING DEVICES AND EQUIPMENT REST SOLELY WITH THE MANUFACTURER OF EQUIPMENT AND DEVICES. EXCEPT AS OTHERWISE EXPRESSLY PROVIDED HEREIN AND AS OTHERWISE SPECIFICALLY SET FORTH IN ANY MANUFACTURER WARRANTY FOR ANY EQUIPMENT PROVIDED BY GC MOBIL TECHNOLOGY (BUT ONLY IF SUCH WARRANTY IS INCLUDED WITH SUCH EQUIPMENT), GC MOBIL TECHNOLOGY AND ITS THIRD PARTY LICENSORS, PROVIDERS AND SUPPLIERS DISCLAIM, WITH RESPECT TO ALL SERVICES AND EQUIPMENT, ANY AND ALL REPRESENTATIONS AND WARRANTIES, EXPRESS, IMPLIED OR ARISING BY COURSE OF PERFORMANCE, DEALING, CUSTOM OR TRADE USAGE, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE (EVEN IF WE KNEW OR SHOULD HAVE KNOWN SUCH PURPOSE) AND NONINFRINGEMENT. YOU ACKNOWLEDGE AND AGREE THAT THE SERVICE, ANY SUPPORT SERVICES AND THE EQUIPMENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITH ALL FAULTS. THE PROVISIONING AND PERFORMANCE OF SERVICE AND EQUIPMENT IS SUBJECT TO OTHER FACTORS, INCLUDING WITHOUT LIMITATION, COMPUTER/SERVER CONFIGURATION AND CAPABILITIES, PROPER ELECTRICAL GROUNDING, NETWORK/INTERNET PERFORMANCE, AMONG OTHER FACTORS BEYOND OUR CONTROL, AND ARE NOT WARRANTED. NEITHER GC MOBIL TECHNOLOGY NOR ITS SUPPLIERS WARRANT THAT THE SERVICE OR EQUIPMENT PROVIDED BY GC MOBIL TECHNOLOGY WILL MEET YOUR NEEDS, PERFORM AT A PARTICULAR SPEED, BANDWIDTH OR DATA THROUGHPUT RATE, OR WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR FREE OF VIRUSES, WORMS, DISABLING CODE OR CONDITIONS, OR THE LIKE.

7. Your Responsibilities, Protection of Data, Use of the Service, Notices and Revisions to Terms of Service

   1. Your responsibilities

      You agree that you are solely responsible for all use of the Service and the manner in which the Service is used by you or anyone who uses the Service, with or without your permission. The Service is not intended in the operation of critical data systems, such as those used for the operation of communication systems, patient data systems, life support machines or other equipment in which the failure of the Service could lead to death, personal injury, or severe physical or environmental damage. You also agree that your use of the Service is at your own risk and is subject to all applicable laws and regulations, and that you will use the Service only within the United States, Canada and Mexico or worldwide as stated in the agreement. Personally identifiable information ("Personal Information") and any other information stored, publicly posted or privately transmitted through or on the Service or via the Internet is your sole and exclusive responsibility. You agree that you are solely responsible for maintaining the security of your MOBIL(s), data, and your facility network including without limitation, encryption of data or Content and protection of your User ID, password and personal and other data. WE STRONGLY RECOMMEND THE USE (AND APPROPRIATE UPDATING) OF COMMERCIAL ANTI-VIRUS, ANTI-SPYWARE, ENCRYPTION SERVICES AND FIREWALL SOFTWARE.

   2. Protection of Data and Access to the Service by GC MOBIL TECHNOLOGY

      KEEP YOUR INFORMATION AND ACCOUNT SAFE. YOU ARE RESPONSIBLE FOR MONITORING THE CONTENT, USE OF AND ACCESS TO THE SERVICE, AND/OR ANY USE OF AND ACCESS TO THE SERVICE BY MINORS, OR OTHER FACILITY MEMBERS OR ANYONE WITH ACCESS TO YOUR SYSTEMS THAT VIEW OR CONTROL THE SERVICES, WHOSE USE AND/OR ACCESS YOU AUTHORIZE, EVEN IF SUCH USE AND/OR ACCESS BY A MINOR, OTHER FACILITY MEMBER OR ANYONE WITH ACCESS TO YOUR SERVICE IS A RESULT OF YOUR FAILURE TO SET ANY APPROPRIATE CONTROL ON THE DEVICES FROM WHICH YOU MONITOR THE CONTENT AND/OR USE AND ACCESS TO THE SERVICE.

   3. Use of the Services and the connected Equipment

      If you do not effectively manage the controls and passwords on the Service, your facility network or the equipment associated with the Service, unauthorized third parties may gain access to your Service or your facility network. You agree that you are solely responsible for all use of the Service and the manner in which the Service is used by you or anyone who uses the Service, with or without your permission. The Service utilizes, in whole or in part, the public Internet and third-party networks to transmit data and other communications. You agree that the Internet is not a secure network, is not owned, operated or managed by, or in any way affiliated with GC MOBIL TECHNOLOGY or its affiliates, and that third parties may be able to intercept, access, use or corrupt the information you transmit over the Internet. You further agree that neither GC MOBIL TECHNOLOGY nor its affiliates owns or controls all of the various facilities and communications lines through which the functionality of the Service may be provided. You agree that all use of the Service is your sole responsibility, and is solely at your own risk. You are solely responsible for obtaining, maintaining and updating all equipment and software necessary to use the Service and your facility network, and for management of your information, including but not limited to back-up and restoration of your data or Content.

   YOU AGREE THAT GC MOBIL TECHNOLOGY IS NOT RESPONSIBLE FOR THE LOSS OF YOUR DATA OR CONTENT OR FOR THE BACK-UP OR RESTORATION OF YOUR DATA REGARDLESS OF WHETHER THIS DATA OR CONTENT IS MAINTAINED ON OUR SERVERS OR YOUR DEVICE(S). YOU SHOULD ALWAYS BACK-UP ANY IMPORTANT INFORMATION AND CONTENT SEPARATELY FROM DATA OR CONTENT STORED ON GC MOBIL TECHNOLOGY 'S OR ANY THIRD PARTY'S SERVERS.

8. Indemnification

   You agree to indemnify and defend GC MOBIL TECHNOLOGY and its Suppliers ("Indemnities") and hold Indemnities harmless from any damages, costs (including attorneys' and experts' fees) and liabilities incurred from any claim, lawsuit or cause of action of any sort arising from your use of the Service, or the use of the Service by others, or breach of this Agreement.

9. Content; Wireless Access; Limitations on Content

   1. Storage Capacity Limitations and Lost Data

      You agree that GC MOBIL TECHNOLOGY is not responsible or liable for any insufficient storage capacity or the deletion of or failure to store Content. You further agree that GC MOBIL TECHNOLOGY has no obligation to screen or monitor the functionality of any Content or any other materials and information, in any form, submitted by you; however, GC MOBIL TECHNOLOGY reserves the right to review information or materials uploaded to GC MOBIL TECHNOLOGY or used in any materials and information, in any form, and to remove any such information or materials in its sole discretion, regardless of whether such material does or does not violate this Agreement or any GC MOBIL TECHNOLOGY policies, guidelines, or other codes of conduct which are applicable to the Services. You hereby grant a non-exclusive, fully-paid and royalty-free, sub-licensable, assignable, irrevocable worldwide license to GC MOBIL TECHNOLOGY to provide all facilities, to enable those facilities to take all actions, and itself to take all actions, with respect to content that may be necessary or reasonable to provide or to facilitate the provision of the Services. This foregoing right and license grant includes a license or sub-license under any current and future patents, copyrights and trademarks owned or licensable by you to the extent necessary for GC MOBIL TECHNOLOGY to exercise any license right granted herein. This license includes, without limitation: (i.) storing and retrieving the Content; (ii.) making the Content available to you; (iii.) conforming to connecting networks' technical requirements; (iv.) transcoding Content into a viewable or otherwise appropriately perceptible format; and (v.) conforming to the limitations and terms of service. In the event of termination of your Service, GC MOBIL TECHNOLOGY or its Suppliers will remove and/or permanently delete from their servers all of your stored Content, and/or all backup copies thereof, without further notice and without liability to you or any third party.

   2. Wireless Access

      Access to the Services via wireless devices is network dependent and further dependent upon the performance your device available on your device. GC MOBIL TECHNOLOGY disclaims any functionality and display issues that may arise from your access to the Services from your wireless device. Your access to the Services from your wireless device is subject to your wireless carrier's terms and conditions.

   3. Limitations on Content

      Your display of Content through the Service does not constitute any endorsement of such Content by GC MOBIL TECHNOLOGY or its Suppliers. By transmitting, uploading, posting or submitting any Content through the Service, you agree (i) that such Content is not confidential, secret or proprietary information belonging to you or to someone else; and (ii) that no other person has rights to the Content and that your use, display or transmission of content does not violate any trademark, copyright or other intellectual property laws relating to it. Any web sites linked to or from the Service are not reviewed, controlled, or examined by GC MOBIL TECHNOLOGY or its Suppliers and neither GC MOBIL TECHNOLOGY nor its Suppliers are responsible for the contents of any such sites or any links. ANY DEALINGS THAT YOU HAVE WITH THIRD PARTIES INCLUDING FOR EXAMPLE AND NOT AS A LIMITATION, GC MOBIL TECHNOLOGY IN REGARD TO INTERNET CONNECTIVITY REGARDING THE SERVICE ARE SOLELY YOUR RESPONSIBILITY AND YOU AGREE TO INDEMNIFY, DEFEND AND HOLD GC MOBIL TECHNOLOGY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND SUPPLIERS HARMLESS FROM ANY LIABILITY OR DAMAGES ARISING DIRECTLY OR INDIRECTLY FROM ANY CLAIMS AGAINST GC MOBIL TECHNOLOGY RESULTING FROM YOUR USE OF THE SERVICE OR SUCH RELATIONSHIPS.

10. Other Third Party Arrangements

    You agree to comply with the terms of service that apply to any websites or other services you access on the Internet and agree that the third party provider of such services (and not GC MOBIL TECHNOLOGY ) is solely responsible for the delivery of its services(s) to you and your use of them. Violations of such third party provider's terms of service may, in GC MOBIL TECHNOLOGY 's sole discretion, result in the termination of your Service. You further agree to indemnify, defend and hold GC MOBIL TECHNOLOGY harmless from and against any claims or liabilities that may result from your use of such third party services.

11. Termination of Services

    Upon termination or expiration of this Agreement, you agree to cease use and access of all provided Services and immediately delete such access from your mobile device.

12. Customer Equipment and Backup and Maintenance

    1. Customer Equipment

       You are solely responsible for obtaining and maintaining any equipment, network connections and software necessary to use and access the Service.

    2. GC MOBIL TECHNOLOGY Backup and Maintenance

       GC MOBIL TECHNOLOGY may use, copy, display, store, transmit, translate, rearrange, reformat, view and distribute your information to multiple GC MOBIL TECHNOLOGY servers. GC MOBIL TECHNOLOGY may access, copy, block or remove any Content stored on your Service, whether pursuant to a subpoena or otherwise. We do not guarantee that these procedures will prevent the loss of, alteration of, or the improper access to, your information.

13. Termination for Default

    Either party may terminate or cancel this Agreement if the other fails to cure a material breach of the Agreement within thirty-(30) calendar days after receiving written notice of the breach.

14. Limitation of Liability

    IN NO EVENT SHALL GC MOBIL TECHNOLOGY OR ITS THIRD PARTY LICENSORS, PROVIDERS OR SUPPLIERS BE LIABLE TO YOU FOR (A) ANY PUNITIVE, SPECIAL, CONSEQUENTIAL, INCIDENTAL OR INDIRECT DAMAGES INCLUDING WITHOUT LIMITATION, LOST PROFITS OR LOSS OR DAMAGE TO DATA ARISING OUT OF THE USE OR INABILITY TO USE THE SERVICE, ANY SUPPORT SERVICES, OR THE EQUIPMENT, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, OR (B) ANY CLAIMS AGAINST YOU BY ANY THIRD PARTY.

    YOU AGREE THAT GC MOBIL TECHNOLOGY OR ITS SUPPLIERS WILL HAVE NO LIABILITY FOR ANY DAMAGES OR INJURIES TO YOU, OR YOUR PROPERTY INCLUDING FOR EXAMPLE PURPOSES ONLY BUT NOT AS A LIMITATION, YOUR MOBILE DEVICE, SOFTWARE, DATA OR OTHER ELECTRONIC MEDIA, ELECTRICAL CIRCUITS OR RELATED HARDWARE, FP SYSTEMS, OR PERIPHERALS CAUSED DIRECTLY OR INDIRECTLY BY THE SERVICE OR THE EQUIPMENT. YOU ALSO AGREE THAT GC MOBIL TECHNOLOGY OR ITS SUPPLIERS WILL NOT BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY FAILURE OF THE SERVICE OR EQUIPMENT TO PERFORM, DAMAGES TO YOU OR ANY THIRD PARTY OR YOUR PROPERTY INCLUDING FOR EXAMPLE PURPOSES ONLY AND NOT AS A LIMITATION, YOUR MOBILE DEVICE, SOFTWARE, DATA OR OTHER ELECTRONIC MEDIA, ELECTRICAL CIRCUITS OR RELATED HARDWARE, HVAC SYSTEMS, PERIPHERALS OR SOFTWARE, LOSSES OF OR INJURY TO YOUR BUSINESS OR DATA, OR FOR ANY DAMAGES, INCLUDING LOST INCOME OR BUSINESS OPPORTUNITY RELATING TO OR CAUSED, DIRECTLY OR INDIRECTLY BY, SERVICE FAILURES, EQUIPMENT OR UNDERLYING LINE FAILURES, BY ANY FAILURES OF THE EQUIPMENT OR SOFTWARE WE PROVIDED, BY YOUR USE OF THE INTERNET OR BY ANY VIRUSES OR OTHER DISABLING CODE OR INTRUSIONS TO YOUR SYSTEM.

    YOU UNDERSTAND AND AGREE THAT YOU ARE RESPONSIBLE FOR ALL CONTENT AVAILABLE THROUGH OR BY THE USE OF THE SERVICE AND FOR THE PROTECTION, STORAGE, BACK-UP AND SECURITY OF YOUR DATA, CONTENT, SOFTWARE, COMPUTER NETWORK AND OTHER FACILITIES, AS WELL AS YOUR CHOICE OF EQUIPMENT, YOUR FACILITY NETWORK AND USE OF THE SERVICE. THE STORAGE OF SUCH CONTENT, THE CONTENT ITSELF AND THE ABILITY TO VIEW SUCH CONTENT IS NOT ENCRYPTED. THE RESULT OF HAVING NO ENCRYPTION COULD RESULT IN YOUR CONTENT BEING EASILY ACCESSED BY OTHER THIRD PARTIES WHO GAIN ACCESS TO YOUR FACILITY NETWORK OR YOUR ACCOUNT EITHER BY PROPER OR IMPROPER MEANS. You agree to provide us with the access to and support regarding the Service upon request. GC MOBIL TECHNOLOGY does not filter or monitor Content displayed or stored although we reserve the right to do so. WE RESERVE THE RIGHT TO ACCESS, DISABLE OR SUSPEND YOUR SERVICE, TAKE DOWN CONTENT OR TO TAKE ANY OTHER ACTION WE DEEM APPROPRIATE REGARDING YOUR SERVICE AND/OR CONTENT IN THE EVENT WE HAVE REASON TO BELIEVE IT CONTAINS ILLEGAL MATERIAL, IN RESPONSE TO A SUBPOENA, COURT ORDER OR OTHER LEGAL REQUEST OR TO PROTECT THE NETWORK, GC MOBIL TECHNOLOGY OR OTHER INTERNET USERS. GC MOBIL TECHNOLOGY and/or its Suppliers regularly back up Content stored on or via the Service, and store such information for a limited time. Neither GC MOBIL TECHNOLOGY nor its Suppliers will have any liability for any failure to back up or restore such Content, or for interruption, delay or suspension of access to or unavailability of Content, or any loss of such information, data or transmissions.

15. Force Majeure

    If the performance of any obligation hereunder is interfered with by reason of any circumstance beyond our or our third party licensors, providers or suppliers' reasonable control, including but not limited to acts of God, labor strikes and other labor disturbances, power surges or failures, or the act or omission of any third party, we shall be excused from such performance to the extent necessary, provided that we shall use reasonable efforts to remove such causes of nonperformance.

16. Publicity

    You shall not use any trademark, trade name, trade dress or any name, picture or logo which is commonly identified with GC MOBIL TECHNOLOGY or its affiliates, third party licensors, providers or suppliers, or from which any association with GC MOBIL TECHNOLOGY , or its affiliates third party licensors, providers or suppliers may be inferred or implied, in any manner without the prior written permission of GC MOBIL TECHNOLOGY.

17. Venue, Jurisdiction and Choice of Law

    This Agreement shall be governed by and construed in accordance with the laws of City of Mexico, Mexico. The Parties consent to the sole and exclusive jurisdiction of the federal and state courts located in City of Mexico, Mexico with respect to any disputes arising from any breach or related to the enforcement of this Agreement.

18. Miscellaneous

    The terms and conditions of this Agreement supersede all previous agreements, proposals or representations related to the Service. You may not assign this Agreement without our prior written consent. We may freely assign this Agreement. Any changes to this Agreement, or any additional or different terms in your purchase orders, acknowledgments or other documents, will not be effective unless expressly agreed to in writing by us. Any notices or demands or other communications which under the terms of this Agreement or under any statute must or may be given or made by either party shall be in writing to the respective parties as set forth herein. If any of the terms or conditions in this Agreement are found to be invalid or unenforceable by a court or government body, the remaining terms or conditions of this Agreement shall not be affected by the finding and shall continue to apply as necessary to reflect the original intention of the parties. GC MOBIL TECHNOLOGY 's failure at any time to enforce any provision of this Agreement or any right or remedy available hereunder or at law or equity, or to exercise any option herein provided shall in no way be construed to be a waiver of such provision, right, remedy or option or in any other way affect the validity of this Agreement. The exercise by GC MOBIL TECHNOLOGY of any rights, remedies or options provided hereunder or at law or equity shall not preclude or prejudice GC MOBIL TECHNOLOGY from exercising thereafter the same or any other rights or remedies or options.

1. Aceptación de este acuerdo

3. Servicio

   El término "Servicio" se entendrá como el servicio de administración de proyectos de GC MOBIL TECHNOLOGY, incluyendo esta aplicación, administrar la información relativa a sus proyectos de construcción. El Servicio le permitirá a usted acceder remotamente a su información, ver y crear reportes, subir y compartir archivos con su equipo de trabajo, y almacenar en un servidor la información que desee descargar a su dispositivo vía una conexión de alta velocidad a internet. El término "Contenido" puede significar información en forma digital o electrónica de cualquier forma que sea provista, recuperada o almacenada por usted o por terceros que usted autorice a través de el Servicio o capturado por su uso del Servicio.

4. Requerimentos de Servicio

   El acceso a internet es requerido para el uso del Servicio. Usted es el único responsable de cumplir con el mínimo de requerimentos del sistema, así como obtener, instalar, configurar, y mantener el equipo y software adecuados, incluyendo cualquier sistema necesario o actualización de software, parches u otras composturas, como las que son o pueden llegar a ser necesarias para para el acceso al Servicio o Servicios y operar en su dispositivo movíl u otro cualquier dispositivo utilizado para acceder al Servicio.

5. Duración

   Este Acuerdo será efectivo en el momento en que usted acepte este Acuerdo, tal y como se provee arriba, y continuará mes con mes. El periodo de Aceptación comienza cuando usted acepta este Acuerdo y termina cuando usted o nosotros lo terminemos. Nos reservamos el derecho de terminar el Servicio (o cualquier parte de este) en el evento en que cese la oferta del Servicio de manera general o en su locación. En el caso del cese del ofrecimiento del Servicio (o cualquier parte de este) de manera general o en su locación, otorgaremos al menos 15 días de aviso previo.

6. No garantías

   EL AVISO O INFORMACIÓN OTORGADOS POR GC MOBIL TECHNOLOGY O SUS REPRESENTANTES O PROVEEDORES NO GENERARÁN UNA GARANTÍA DE NINGÚN TIPO RELACIONADO CON EL SERVICIO O SU USO. SUS DERECHOS DE GARANTÍA CONFORME A LOS DISPOSITIVOS O EQUIPOS DEPENDERÁN SOLAMENTE DEL FABRICANTE DE DICHOS DISPOSITIVOS. EXCEPTO DE OTRA MANERA EN AQUELLOS CASOS QUE EXPRESAMENTE SE INDIQUE Y QUE DE OTRA FORMA SEA ESPECIFÍCADO POR ALGÚN FABRICANTE DE EL EQUIPO PROVISTO POR GC MOBIL TECHONOLOGY (PERO SOLAMENTE SI DICHA GARANTÍA ESTÁ INCLUÍDA CON DICHO EQUIPO), GC MOBIL TECHNOLOGY Y SUS TERCEROS AUTORIZADOS, PROVEEDORES Y REPRESENTANTES, CON RESPECTO A TODOS LOS SERVICIOS Y EQUIPO, ASÍ COMO CUALQUIERA Y TODAS REPRESENTACIONES Y GARANTÍAS, EXPRESAS, IMPLICADAS O REQUERIDAS DURANTE EL CURSO DE SU DESEMPEÑO, ACUERDO, VENTA O ENTREGA, INCLUYENDO PERO NO LIMITADO A LAS GARANTÍAS IMPLICADAS EN LA COMERCIABILIDAD, AJUSTES PARA PROPÓSITOS PARTÍCULARES (AÚN CUAND TENGAMOS CONOCIMIENTO O DEBAMOS TENER CONOCIMIENTO DE DICHO PROPÓSITO) Y NO INFRINGIMIENTO. USTED RECONOCE Y ACEPTA QUE ESTE SERVICIO, Y DISPOSITIVOS DE SOPORTE Y QUE EL EQUIPO SON ENTREGADOS "AS IS" (TAL Y COMO ESTÁN) Y "AS AVAILABLE" (TAL Y CÓMO EXISTA DISPONIBILIDAD) CON TODOS SUS FALLOS. EL APROVISAMIENTO Y DESEMPEÑO DEL SERVICIO Y EL EQUIPO QUEDA SUJETO A OTROS FACTORES, INCLUYENDO PERO NO LIMITADO A, CONFIGURACIÓN Y CAPACIDADES DE EQUIPO DE CÓMPUTO/SERVIDORES, ATERRIZAJE ELÉCTRICO APROPIADO, DESEMPEÑO DE LA RED/INTERNET, ENTRE OTROS FACTORES FUERA DE NUESTRO CONTROL, Y NO SON GARANTIZADOS. NI GC MOBIL TECHNOLOGY NI SUS REPRESENTANTES GARANTIZAN QUE EL SERVICIO O EL EQUIPO PROVISTO POR GC MOBIL TECHONOLGY CUMPLAN CON SUS EXPECTATIVAS, NECESIDADES, VELOCIDAD PARTÍCULAR DE DESEMPEÑO, ANCHO DE BANDA O TARIFA DE TRANSFERENCIA DE DATOS, O SER ININTERRUMPIDO, LIBRE DE ERRORES, SEGURA, LIBRE DE VIRUS, GUSANOS, TROYANOS, CÓDIGO O CONDICIONES DESHABILITADORAS, O TODO AQUELLO QUE SE PAREZCA.

7. Sus responsabilidades; Protección de datos; Uso del Servicio; Notificaciones; Revisiones a los Términos de Servicio.

   1. Sus responsabilidades

      Usted acepta ser el único responsable por el todo el uso que le de al Servicio y la manera en el que el Servicio es utilizado por usted o por cualquiera que use el Servicio, con o sin su autorización. El Servicio no esta diseñado para la operación con sistemas de datos critícos, como aquellos utilizados para la operación de sistemas de comuniación, sistemas de recuperación de datos de pacientes, máquinas de apoyo vital u otro equipo en cuya falla del Servicio pueda conllevar a la muerte, lesión personal, o daño físico o ambiental. Usted también acepta que su uso del Servicio es bajo su propio riesgo y que está sujeto a todas las leyes y regulaciones aplicables, y que utilizará el Servicio solamente dentro del territorio de Estados Unidos de Ámerica, Canada y México o mundialmente tal y como se especifíca en este Acuerdo. Información de identificación personal ("Información Personal") y cualquier otra información almacenada, públicamente publicada o privadamente transmitida a través de o en el Servicio o vía internet es su sola y exclusiva responsabilidad. Usted acepta que es su responsabilidad mantener la seguridad de su dispositivo móvil, datos y la red de sus instalaciones incluyendo pero no límitado a la encriptación de datos o el Contenido y la protección de su identificador de usuario, contraseña, información personal o cualquier otra información. RECOMENDAMOS ENCARECIDAMENTE EL USO (Y ACTUALIZACIÓN APROPIADA) DE SOFTWARE ANTI-VIRUS COMERCIAL, SOFTWARE ANTI-SPYWARE, SOFTWARE DE SERVICIO DE ENCRIPTACIÓN Y SOFTWARE CORTAFUEGOS.

   2. Protección de Datos y Acceso al Servicio otorgado por GC MOBIL TECHNOLOGY

      MANTENER SEGURA SU INFORMACIÓN Y CUENTA. USTED ES RESPONSABLE DE MONITOREAR EL CONTENIDO, EL USO Y EL ACCESO AL SERVICIO Y/O CUALQUIER USO Y ACCESO AL SERVICIO POR MENORES O POR OTROS MIEMBROS DE LAS INSTALACIONES O CUALQUIERA CON ACCESO A SUS SISTEMAS QUE VISUALIZAN O CONTROLEN EL SERVICIO, Y/O EL ACCESO QUE USTED AUTORIZA, INCLUSO SI TAL USO Y/O ACCESO POR UN MENOR, OTRO MIEMBRO DE LAS INSTALACIONES O CUALQUIER PERSONA CON ACCESO A SU SERVICIO ES UN RESULTADO DE SU FALTA DE ESTABLECER CUALQUIER CONTROL APROPIADO EN LOS DISPOSITIVOS EN LOS QUE USTED MONTA EL CONTENIDO Y/O USO Y ACCESO AL SERVICIO.

   3. Uso de los Servicios y del Equipo conectado

      Si usted no gestiona eficazmente los controles y contraseñas del Servicio, la red de su instalación o el equipo asociado con el Servicio, terceros no autorizados pueden acceder a su Servicio o la red de su instalación. Usted acepta que usted es el único responsable de todo uso del Servicio y de la manera en que el Servicio es utilizado por usted o cualquier persona que use el Servicio, con o sin su permiso. El Servicio utiliza, en todo o en parte, la internet pública y las redes de terceros para transmitir datos y otras comunicaciones. Usted acepta que Internet no es una red segura, no es propiedad, es operado o administrado por, o de ninguna manera afiliado a GC MOBIL TECHNOLOGY o sus afiliados, y que terceras partes pueden ser capaces de interceptar, acceder, usar o corromper la información Usted transmite a través de Internet. Usted acepta además que ni GC MOBIL TECHNOLOGY ni sus afiliados son propietarios o controlan todas las diversas instalaciones y líneas de comunicación a través de las cuales se pueda proporcionar la funcionalidad del Servicio. Usted acepta que todo uso del Servicio es de su exclusiva responsabilidad y es únicamente bajo su propio riesgo. Usted es el único responsable de obtener, mantener y actualizar todo el equipo y software necesarios para utilizar el Servicio y la red de su instalación y para la administración de su información, incluyendo pero no limitado a la copia de seguridad y restauración de sus datos o Contenido.

   USTED ACEPTA QUE GC MOBIL TECHNOLOGY NO ES RESPONSABLE POR LA PÉRDIDA DE SUS DATOS O CONTENIDO O POR LA SEGURIDAD O RESTAURACIÓN DE SUS DATOS, INDEPENDIENTEMENTE DE QUE ESTE DATOS O CONTENIDO SE MANTENGA EN NUESTROS SERVIDORES O EN SU DISPOSITIVO. USTED DEBE SIEMPRE COPIAR CUALQUIER INFORMACIÓN IMPORTANTE Y CONTENIDO SEPARADAMENTE DE DATOS O CONTENIDO ALMACENADOS EN LA GC MOBIL TECHNOLOGY O EN LOS SERVIDORES DE TERCEROS.

8. Indemnización

   Usted acepta indemnizar y defender a GC MOBIL TECHNOLOGY y sus Proveedores ("Indemnizados") y mantener indemnizados de cualquier daño, costo (incluyendo honorarios de abogados y expertos) y responsabilidades incurridas de cualquier demanda, pleito o causa de acción de Cualquier tipo derivado de su uso del Servicio, o el uso del Servicio por terceros, o el incumplimiento de este Acuerdo.

9. Contenido; Acceso Inalámbrico; Limitaciones en el Contenido

   1. Limitaciones de capacidad de almacenamiento y datos pérdidos

      Usted acepta que GC MOBIL TECHNOLOGY no es responsable de ninguna capacidad de almacenamiento insuficiente o de la eliminación o falla en la conservación del Contenido. Usted acepta además que GC MOBIL TECHNOLOGY no tiene ninguna obligación de supervisar o monitorear la funcionalidad de cualquier Contenido o cualquier otro material e información, en cualquier forma, enviada por usted; Sin embargo, GC MOBIL TECHNOLOGY se reserva el derecho de revisar la información o los materiales cargados a GC MOBIL TECHNOLOGY o de utilizarlos en cualquier material e información, en cualquier forma y de quitar cualquier información o materiales a su sola discreción, No viola este Acuerdo ni las políticas, directrices u otros códigos de conducta de GC MOBIL TECHNOLOGY que sean aplicables a los Servicios. Por el presente, usted otorga a GC MOBIL TECHNOLOGY una licencia no exclusiva, totalmente pagada y libre de regalías, sub-licenciable, asignable e irrevocable a nivel mundial para proporcionar todas las instalaciones, para permitir que dichas instalaciones tomen todas las acciones y para tomar todas las acciones, Con respecto al contenido que pueda ser necesario o razonable proporcionar o facilitar la prestación de los Servicios. Este derecho anterior y la concesión de la licencia incluyen una licencia o sub-licencia bajo cualquier patente actual, futura y derechos de autor y marcas registradas de su propiedad o licenciables por usted en la medida necesaria para que GC MOBIL TECHNOLOGY ejerza cualquier derecho de licencia otorgado aquí. Esta licencia incluye, sin limitación: (i.) Almacenar y recuperar el Contenido; (ii.) poner el Contenido a su disposición; (iii) cumplir con los requisitos técnicos de las redes de conexión; (iv.) transcodificar Contenido en un formato visible o de otro modo apropiadamente perceptible; Y (v.) Conforme a las limitaciones y condiciones del Servicio. En caso de terminación de su Servicio, GC MOBIL TECHNOLOGY o sus Proveedores retirarán y/o eliminarán de forma permanente de sus servidores todo su Contenido almacenado, y/o todas sus copias de seguridad, sin previo aviso y sin responsabilidad para usted o cualquier tercero.

   2. Acceso inalámbrico

      El acceso a los Servicios a través de dispositivos inalámbricos depende de la red y depende, además, del rendimiento que el dispositivo tenga disponible. GC MOBIL TECHNOLOGY rechaza cualquier problema de funcionalidad que puedan surgir de su acceso a los Servicios desde su dispositivo inalámbrico. Su acceso a los Servicios desde su dispositivo inalámbrico está sujeto a los términos y condiciones de su proveedor de servicios inalámbricos.

   3. LLimitaciones en el contenido

      La visualización de Contenido a través del Servicio no constituye una aprobación de dicho Contenido por GC MOBIL TECHNOLOGY o sus Proveedores. Al transmitir, cargar, publicar o enviar cualquier Contenido a través del Servicio, usted acepta (i) que dicho Contenido no es información confidencial, secreta o propietaria perteneciente a usted u otra persona; Y (ii) que ninguna otra persona tiene derechos sobre el Contenido y que su uso, exhibición o transmisión de contenido no viola nínguna marca comercial, derechos de autor u otras leyes de propiedad intelectual relacionadas con el mismo. Cualquier sitio web vinculado o procedente del Servicio no es revisado, controlado o examinado por GC MOBIL TECHNOLOGY ni sus Proveedores y ni GC MOBIL TECHNOLOGY ni sus Proveedores son responsables del contenido de dichos sitios o enlaces. CUALQUIER NEGOCIO QUE TIENE CON TERCERAS PARTES INCLUYENDO POR EJEMPLO Y NO COMO LIMITACIÓN, GC MOBIL TECHNOLOGY, EN RELACIÓN CON LA CONECTIVIDAD DE INTERNET EN RELACIÓN CON EL SERVICIO SON SOLAMENTE SU RESPONSABILIDAD Y USTED ACEPTA INDEMNIZAR, DEFENDER Y SOSTENER A GC MOBIL TECHNOLOGY Y SUS DIRECTORES, EMPLEADOS Y PROVEEDORES DE CUALQUIER RESPONSABILIDAD O DAÑOS QUE SURJAN DIRECTAMENTE O INDIRECTAMENTE DE CUALQUIER RECLAMACIÓN CONTRA GC MOBIL TECHNOLOGY RESULTANTE DE SU USO DEL SERVICIO O TALES RELACIONES.

10. Otros acuerdos de terceros

    Usted acepta cumplir con los términos de servicio que se aplican a los sitios web u otros servicios a los que accede en Internet y acepta que el tercero proveedor de dichos servicios (y no GC MOBIL TECHNOLOGY) es el único responsable de la prestación de sus servicios) A usted y su uso de ellos. Las infracciones a dichos términos de servicio de terceros proveedores pueden, a criterio de GC MOBIL TECHNOLOGY, resultar en la terminación de su Servicio. Además, acepta indemnizar, defender y mantener a GC MOBIL TECHNOLOGY a salvo de cualquier reclamación o responsabilidad que pudiera derivarse de su uso de dichos servicios de terceros.

11. Terminación de Servicios

    Al finalizar o expirar este Acuerdo, usted acepta dejar de usar y acceder a todos los Servicios proporcionados y eliminar inmediatamente dicho acceso desde su dispositivo móvil.

12. Equipo del Cliente; Y copia de seguridad y mantenimiento

    1. Equipo del cliente

       Usted es el único responsable de obtener y mantener cualquier equipo, conexiones de red y software necesarios para usar y acceder al Servicio.

    2. GC MOBIL TECHNOLOGY Copias de seguridad y Mantenimiento

       GC MOBIL TECHNOLOGY puede utilizar, copiar, mostrar, almacenar, transmitir, traducir, reorganizar, reformatear, ver y distribuir su información a varios servidores de GC MOBIL TECHNOLOGY. GC MOBIL TECHNOLOGY puede acceder, copiar, bloquear o eliminar cualquier Contenido almacenado en su Servicio, ya sea conforme a una citación o de otra manera. No garantizamos que estos procedimientos impidan la pérdida, alteración o acceso indebido a su información.

13. Rescisión por Incumplimiento

    Cualquiera de las partes puede rescindir o cancelar este Acuerdo si el otro no cura un incumplimiento sustancial del Acuerdo dentro de los treinta (30) días naturales después de recibir una notificación por escrito del incumplimiento.

14. Limitación de responsabilidad

    EN NINGÚN CASO GC MOBIL TECHNOLOGY O SUS LICENCIADORES, PROVEEDORES O TERCEROS PROVEEDORES SERÁN RESPONSABLES ANTE USTED POR (A) CUALQUIER DAÑO PUNITIVO, ESPECIAL, CONSECUENCIAL, INCIDENTAL O INDIRECTO INCLUYENDO SIN LIMITACIÓN, PÉRDIDA DE BENEFICIOS O PÉRDIDA O DAÑO A DATOS QUE SURJAN DE EL USO O LA IMPOSIBILIDAD DE USAR EL SERVICIO, CUALQUIER SERVICIO DE SOPORTE O EL EQUIPO, INCLUSO SI HEMOS SIDO AVISADOS DE LA POSIBILIDAD DE TALES DAÑOS, O (B) CUALQUIER RECLAMACIÓN CONTRA USTED POR CUALQUIER TERCERO.

    USTED ACEPTA QUE GC MOBIL TECHNOLOGY O SUS PROVEEDORES NO TENDRÁN NINGUNA RESPONSABILIDAD POR CUALQUIER DAÑO O PERJUICIOS A USTED NI A SU PROPIEDAD INCLUYENDO EXPRESAMENTE PROPÓSITOS SIN LIMITACIÓN, SU DISPOSITIVO MÓVIL, SOFTWARE, DATOS U OTROS MEDIOS ELECTRÓNICOS, CIRCUITOS ELÉCTRICOS O HARDWARE RELACIONADO, SISTEMAS FP O PERIFÉRICOS CAUSADOS DIRECTAMENTE O INDIRECTAMENTE POR EL SERVICIO O EL EQUIPO. USTED TAMBIÉN ACUERDA QUE GC MOBIL TECHNOLOGY O SUS PROVEEDORES NO SERÁN RESPONSABLES ANTE USTED NI CUALQUIER TERCERO POR CUALQUIER FALLA DEL SERVICIO O EQUIPO PARA EFECTUAR, DAÑOS A USTED O A CUALQUIER TERCERO O SU PROPIEDAD INCLUÍDOS SOLAMENTE A MANERA DE EJEMPLO Y NO COMO A LIMITACIÓN, SU DISPOSITIVO MÓVIL, SOFTWARE, DATOS U OTROS MEDIOS ELECTRÓNICOS, CIRCUITOS ELÉCTRICOS O HARDWARE RELACIONADO, SISTEMAS DE HVAC, PERIFÉRICOS O SOFTWARE, PÉRDIDAS O DAÑOS A SU NEGOCIO O DATOS, O POR CUALQUIER DAÑO, INCLUIDA LA PÉRDIDA DE INGRESO O OPORTUNIDAD DE NEGOCIO RELACIONADA CON O CAUSADO, DIRECTAMENTE O INDIRECTAMENTE POR, FALLAS DE SERVICIO, EQUIPO O FALLAS DE LÍNEA SUBYACENTES, POR CUALQUIER FALLO DEL EQUIPO O SOFTWARE QUE HEMOS OFRECIDO, POR SU USO DE INTERNET O POR CUALQUIER VIRUS U OTRO CÓDIGO O INTRUSIÓN DESACTIVADO A SU SISTEMA.

    USTED ENTIENDE Y ACEPTA QUE USTED ES RESPONSABLE POR TODO EL CONTENIDO DISPONIBLE A TRAVÉS O POR EL USO DEL SERVICIO Y POR LA PROTECCIÓN, ALMACENAMIENTO, SEGURIDAD DE SUS DATOS, CONTENIDO, SOFTWARE, RED DE INFORMÁTICA Y OTRAS INSTALACIONES, ASÍ COMO SU ELECCIÓN DEL EQUIPO, SU RED DE INSTALACIÓN Y USO DEL SERVICIO. EL ALMACENAMIENTO DE TAL CONTENIDO, SU CONTENIDO Y LA CAPACIDAD DE VER ESTE CONTENIDO NO ESTÁN ENCRÍPTADOS. EL RESULTADO DE NO TENER NINGUNA ENCRIPTACIÓN PODRÍA RESULTAR QUE SU CONTENIDO SEA ACCESADO FACILMENTE POR OTROS TERCEROS QUE TIENEN ACCESO A SU RED DE INSTALACIONES O SU CUENTA POR MEDIDAS CORRECTAS O INAPROPIADAS. Usted acepta proporcionarnos el acceso y el apoyo con respecto al Servicio bajo petición. GC MOBIL TECHNOLOGY no filtrará ni monitoreará el contenido mostrado o guardado, aunque nos reservamos el derecho de hacerlo. NOS RESERVAMOS EL DERECHO DE ACCEDER, DESACTIVAR O SUSPENDER SU SERVICIO, BAJAR CONTENIDO O TOMAR CUALQUIER OTRA ACCIÓN QUE NECESITAMOS APROPIADA EN RELACIÓN CON SU SERVICIO Y/O CONTENIDO EN EL CASO DE QUE TENEMOS RAZONES DE CREER QUE CONTIENE MATERIAL ILEGAL, EN RESPUESTA A UNA CITACIÓN, ORDEN DE TRIBUNAL U OTRA SOLICITUD LEGAL O PARA PROTEGER LA RED, GC MOBIL TECHNOLOGY U OTROS USUARIOS DE INTERNET. GC MOBIL TECHNOLOGY y/o sus Proveedores respaldan regularmente el contenido almacenado en o por medio del Servicio y almacenan dicha información por un tiempo limitado. Ni GC MOBIL TECHNOLOGY ni sus Proveedores tendrán ninguna responsabilidad por cualquier falla en el respaldo o restauración de dicho Contenido, o por interrupción, retraso o suspensión del acceso o no disponibilidad de Contenido, o pérdida de dicha información, datos o transmisiones.

15. Fuerza mayor

    Si el cumplimiento de cualquier obligación en virtud del presente se ve afectado por cualquier circunstancia más allá de nuestros o nuestros terceros licenciadores, proveedores o proveedores de control razonable, incluyendo pero no limitado a actos de Dios, actos de la naturaleza, huelgas laborales y otras perturbaciones laborales, fallas o el acto u omisión de cualquier tercero, estaremos excusados de tal actuación en la medida necesaria, siempre que haremos esfuerzos razonables para eliminar tales causas de incumplimiento.

16. Publicidad

    Usted no usará ninguna marca comercial, nombre comercial, etiqueta comercial o cualquier nombre, imagen o logotipo que sea comúnmente identificado con GC MOBIL TECHNOLOGY o sus afiliados, terceros licenciatarios, proveedores o proveedores, o de los cuales cualquier asociación con GC MOBIL TECHNOLOGY, o Sus afiliados, licenciatarios, proveedores o proveedores de terceros pueden inferirse o implicarse de cualquier manera sin el permiso previo por escrito de GC MOBIL TECHNOLOGY.

17. Lugar, Jurisdicción y Elección de la Ley

    Este Acuerdo se regirá e interpretará de acuerdo con las leyes de la Ciudad de México, México. Las Partes consienten en la jurisdicción exclusiva y exclusiva de los tribunales federales y estatales ubicados en la Ciudad de México, México con respecto a cualquier disputa que surja de cualquier incumplimiento o relacionada con la aplicación de este Acuerdo.

18. Varios

    Los términos y condiciones de este Acuerdo sustituyen a todos los acuerdos, propuestas o representaciones anteriores relacionados con el Servicio. Usted no puede asignar este Acuerdo sin nuestro previo consentimiento por escrito. Podemos asignar libremente este Acuerdo. Cualquier cambio en este Contrato, o cualquier otro término adicional o diferente en sus órdenes de compra, acuses de recibo u otros documentos, no será efectivo a menos que expresamente se acuerde por escrito por nosotros. Cualquier aviso o demanda u otra comunicación que bajo los términos de este Acuerdo o bajo cualquier estatuto debe o puede ser dado o hecho por cualquiera de las partes debe ser por escrito a las partes respectivas como se establece en el presente documento. Si alguno de los términos o condiciones de este Acuerdo resultan ser inválidos o inaplicables por un tribunal u organismo gubernamental, los términos o condiciones restantes de este Acuerdo no se verán afectados por la conclusión y seguirán aplicándose según sea necesario para reflejar el original Intención de las partes. La incapacidad de GC MOBIL TECHNOLOGY en cualquier momento para hacer cumplir cualquier disposición de este Contrato o cualquier derecho o recurso disponible en virtud del presente o en virtud de la ley o la equidad, o de ejercer cualquier opción aquí proporcionada, no se interpretará de ninguna manera como una renuncia de dicha disposición, derecho, recurso o opción o de cualquier otra manera que afecte la validez de este Acuerdo. El ejercicio por parte de GC MOBIL TECHNOLOGY de los derechos, recursos o opciones que se establezcan en virtud del presente o en virtud de la ley o del capital no impedirá ni perjudicará a GC MOBIL TECHNOLOGY de ejercer posteriormente los mismos o cualesquiera otros derechos o recursos u opciones.
